1. Corporate Overview
 
Following the recent consolidation of Navia Maritime AS - Division Autronica, Kongsberg Norcontrol AS and Kongsberg Norcontrol Simulation AS into Kongsberg Maritime Ship Systems AS(hereinafter referred to as 'KMSS'), there is now the technical experience and know-how to be a one-source end-to-end supplier of integrated ship systems. KMSS has three areas of excellence: Ship Control, Ship Automation and Ship Simulation. The organisation remains part of Kongsberg Maritime AS in the Kongsberg Gruppen technology corporation. (Please refer to organisational chart in section 3 'Organisation'.)KMSS had an annual turnover of about NKr 600 million10(9 billion yen)in 2000, and has more than 550 employees worldwide. The company's main subsidiaries are located in Sweden, Holland, USA, Canada and Korea. The headquarters is located in Horten, Norway.
2. History
 
The history of the Kongsberg company dates back to 1814. Kongsberg has built a reputation for innovation and quality that has stood the test of time. The inclusion of Norcontrol, Autronica and Simrad to form Kongsberg Maritime has added a strong maritime tradition and proud history, to the unique heritage of the Kongsberg company. With more than 2300 highly qualified personnel, based at headquarters in Norway and at strategic locations around the world, Kongsberg Maritime is today a world-leading supplier of maritime information technologies.
Chronology
 
1965: Norcontrol was founded by Kongsberg Vapenfabrikk (a precursor of Kongsberg Gruppen)to develop and manufacture ships' automation systems.
 
1975: Kongsberg Vapenfabrikk founded Kongsberg Albatross to develop and deliver Dynamic Positioning systems. The company achieved its first sale this year.
 
1987: All civilian business activities within Kongsberg Vapenfabrikk were sold. Kongsberg Albatross was sold to Simrad.
 
Defence activities continued under the name Norsk Forsvarsteknologi AS (the immediate precursor of Kongsberg Gruppen).
 
1989: Fall of the Berlin Wall. The Group adopted a new strategy aimed at bringing civilian sales up to at least 50% of consolidated turnover.
 
1992: Acquisition of Norcontrol AS.
 
1995: Norsk Forsvarsteknologi AS changed name to Kongsberg Gruppen ASA.
 
1996: Acquisition of Simrad ASA.
 
Kongsberg Gruppen restructured its maritime activities and companies within Kongsberg Maritime AS to include the following companies: Kongsberg Simrad, Kongsberg Norcontrol, Kongsberg Norcontrol Simulation and Simrad.
 
2000: Acquisition of Navia ASA (Autronica AS and Seatex AS).
 
2001: Kongsberg Norcontrol, Kongsberg Norcontrol Simulation and Autronica (part of Navia) consolidated to form Kongsberg Maritime Ship Systems. Seatex changes name to Kongsberg Seatex AS and becomes part of the operating structure of Kongsberg Simrad.
 
3. Organisation
 
KMSS is part of the Kongsberg Gruppen ASA, a Norwegian international technology corporation, with two main business areas: Kongsberg Maritime and Kongsberg Defence and Aerospace. The following organisational chart shows how KMSS is part of Kongsberg Maritime within the Kongsberg Gruppen.

4. Company Performance
 
Kongsberg Gruppen AS reported sales of NKr 5.30 billion(78 billion yen)for the year ending December 2000. This represents an increase of 7.1% versus 1999, when the company's sales were NKr 4.95 billion(73 billion). Sales at Kongsberg Gruppen AS have increased during each of the previous five years, and since 1995, have increased a total of 165%.

In 2000, Kongsberg Maritime accounted for around 60% of Kongsberg Gruppen's overall turnover and Kongsberg Defence and Aerospace accounted for 40%. Kongsberg Gruppen had an annual turnover of NKr 5,300 million(78 billion yen), with the maritime industry accounting for NKr 2,983 million(44 billion yen).
 
Also for 2000, Kongsberg Maritime had an operating income of NKr 2,983 million(44 billion yen)and operating profit of NKr 139 million(2 billion yen). The following table shows the operating income and operating profit of the individual business segments within Kongsberg Maritime for both 1999 and 2000:

Based on information obtained from Kongsberg Gruppen's latest annual report, it can be estimated that the Offshore & Ocean Science segment corresponds to Simrad, the Yachting and Fishery segment corresponds to Kongsberg Simrad and the Ship Systems segment corresponds to Kongsberg Maritime Ship Systems. (Please refer to organisational chart.) The turnover of KMSS may, therefore, be estimated at NKr 637 million(9 billion yen)and the profit at NKr - 31 million(- 457 million yen). However, despite profit of NKr - 31 million(- 457 million yen), KMSS remains confident that the acquisition of Autronica will improve figures in the future.
 
5. Products
 
There are eight product groups in total. The information below explains which products come under the different product groups:
 
(1) Alarm, Monitoring and Control
 
DataChief C20®
 
The DataChief C20 alarm, monitoring and control systems can be applied to satisfy various kinds of ship requirements. The DataChief C20 has a fully distributed architecture, with a system consisting of three main types of building blocks: Data Processing Units(DPU), Local Operator Stations(LOS)and Remote Operator Stations(ROS). A number of DPUs communicating on a dual Controller Area Network(CAN)share the functions of signal interfacing and processing. The appropriate DPU handles alarms, events and control logic and reports to the LOS and the ROS units for operators' monitoring. The strong point of the system is true parallel processing.
FleetMaster®
 
The FleetMaster information management system consists of a number of software modules that enable information and data to be reported and managed appropriately. Satellite or other available data links are used to communicate reports, data and files.
 
The main features of FleetMaster are as follows:
 
(i) There is a library of programmes in place which detail long-term trending and a history of ship operations, engine logbook, customised ship reports and diagnostics.
 
(ii) The FleetMaster System interfaces directly with the onboard navigation, propulsion control, automation and administration networks.

(3) Propulsion Control
 
AutoChief®
 
There are two main versions of the AutoChief propulsion control system: AC4 for low-speed engines with a fixed propeller and AC7 for low- or medium-speed engines with fixed or pitch propeller(s). It is widely regarded as having user-friendly operator panels.
 
A complete AutoChief consists of engine electronic governor, safety system, remote control and complete telegraph system. However, AutoChief is a modular system with self-contained components equally suited for part installations. The AutoChief propulsion control system has been certified by the major diesel engine licensors and approved by all the major classification societies.

(i) AutroSafe Self Verify Interactive Fire Alarm System
 
This is a fire safety management system consisting of a fire detection system.
 
(ii) AutroMaster 5000
 
This is a fire safety management system consisting of a fire detection system and an indication and control system. It also includes monitoring and control of fire related functions such as doors, dampers, fire pumps etc.
 
(8) Ship Simulators
 
KMSS can provide the following range of ship simulators:
