EXECUTIVE SUMMARY

The company can trace its roots back over a century, beginning life as Stal-Laval before becoming Asea Stal, then ABB Stal and ABB Alstom Power Sweden AB.

Stal-Laval made gas and steam turbines for marine and other customers. However, when it was brought into the ABB Group in 1987 and became ABB Stal the company stopped supplying turbines for marine applications as diesel engines were dominating the marine market. It therefore restricted its marine activities to after sales services for turbines and supplying spare parts. However, the development of the high-speed ferry market in the mid-'90s encouraged the company to consider opportunities in the marine sector once more.

In the early part of 1999 ABB Alstom Power Sweden AB was established as a 50/50 shared risk company supported by ABB Group and Alstom, with its headquarters in Brussels. This brought together ABB and Alstom products, some of them similar, other complementary. In terms of its product range the new company was able to offer a wider selection of gas turbines than any of its competitors, from 1-265MW, as well as steam turbines across the range 0.5-1,300 MW.

In the Summer of 2000 ABB sold its stake to Alstom in a deal ratified by competition authorities on 1 September, and today the company is known simply as Alstom Power.

The company describes itself as one of the world's leading companies in the thermal energy conversion field. Its products include advanced steam and gas turbines for land-based, offshore and marine applications. The gas turbine output range is up to 50 MW.

The product range does not include diesel engines, with the part of Alstom that made these products having been sold to MAN B&W Group for around EUR200 million. This deal was announced on 21 February 2000 and took effect from 31 March 2000.
