SSA and its affiliated companies provide the following cargo handling services at various facilities around the world :

 

・ Handling containerized cargo and other commodities such as steel, meat, fruit, forest products and agricultural goods at more than 150 shipping terminals worldwide.

・ Loading and unloading various types of commercial and military cargo vessels calling at terminals operated by SSA or one of its affiliates, as well as at many other facilities.

・ Approximately 75 intermodal rail facilities.

・ Storage of cargo for future export or inland distribution.

 

SSA is owned by a single shareholder, FRS Service Companies, Inc. SSA and its affiliated companies employ approximately 7,350 full-time equivalents.

 

In 1993, SSA established SSA International, Inc., and through this subsidiary, expanded into international operations, which currently include more than 25 foreign ventures. In 1997, SSA International, Inc. was the recipient of Arthur Andersen's Enterprise Award for Best Business Practices in the "Going International" category, for its global expansion efforts. The awards were highlighted in the February 16, 1998, issue of Fortune magazine.

 

a) SSA Terminals. LLC

In July 1999. SSA and Matson Navigation Company, Inc. ("Matson") formed a joint venture company named SSA, Terminals LLC ("SSAT"). SSAT is a Delaware limited liability company. Matson currently operates at Terminal 25 ("T25") at the Port. SSAT and SSA will jointly and severally enter into the Terminal 18 Lease with the Port.

 

b)Terminal 18 Development Company

Terminal 18 Development Company ("T- 18 Co."), an affiliate of SSA, will act as Construction Manager during the construction of the Bond Improvements.

 

3. Morrison Knudsen Corporation ("EPC Contractor")

Morrison Knudsen Corporation ("MK") is an internationally recognized contractor headquartered in Boise. Idaho. Ranked 14th on Engineering News-Record's ("ENR") 1998 listing of top contractors and 21st on ENR's 1998 Design/Build listing. MK serves public and private clients through three operating groups - Heavy Civil Construction, Mining, and Engineering and Construction. The Heavy Civil Construction Group is the lead entity for the EPC Contract. MK is a subsidiary of MK Ohio.

 

Joining MK is Parsons Brinkerhoff Quade and Douglas, Inc. ("Parsons Brinkerhoff") as MK's design engineer. Parsons Brinkerhoff is a prominent designer of North American infrastructure projects, and maintains a large regional office in Seattle, WA. The MK team also includes several other firms, who will operate within their fields of specialty. All obligations of MK under the EPC Contract will be unconditionally guaranteed by MK Delaware, pursuant to the Guarantee Agreement.

 

4. Berger/ABAM Engineers, Inc. ("Construction Manager's Consultant")

Established in 1951, Berger/ABAM Engineers, Inc. ("Berger/ABAM") is a consulting firm offering services in the areas of project management civil and structural engineering, environmental studies, and construction management and support. Berber/ABAM provides such technical consulting services throughout the Pacific Northwest Alaska, and across North and Central America. Most of Berger/ABAM's work is marine-related planning and engineering. Clients include the U. S. Navy; U. S. Army Corps of Engineers; Washington ports of Seattle, Tacoma, Everett, Grays Harbor, Port Angeles, Port Townsend and Vancouver; Port of Portland, Oregon; Florida ports of Tampa and Jacksonville; Port of New York and New Jersey; and various private clients throughout the United States and Canada.

 

The firm also specializes in the construction management of waterfront and marine facilities. Berger/ABAM's construction management team is one that is experienced in the planning, design, and demolition of marine, waterfront and other public works facilities.
