1. 報告要約(Summary)
｢近年の企業金融･コーポレート･ガバナンスの変化と21世紀への展望｣
本報告の課題は、近年の企業金融とコーポレート･ガバナンスの変化を解明する点にある。高度成長に確率したと見られる日本型企業システムの企業金融･コーポレート･ガバナンスの特徴のうち、バブル期と呼ばれる1980年代後半に何が変化したのか、また、その崩壊後90年代に入って、日本の企業システムはいかなる方向に向かっているのか、こうした問題を解明するために、本報告では、1)企業の負債選択、及び2)企業経営者の交代と企業パフォーマンスとの関係に関するシステマティックな分析を試みる。
“ Recent Changes in Corporate Finance and Governance and Their Outlook in the21st Century ”
An attempt is made to elucidate changes that have occurred over recent years in Japanese corporate finance and governance, which are rooted in a Japanese-style corporate system developed within a matrix of high economic growth. A systematic analysis is made of (1) corporate debt selection and (2) the relation between presidential turnover and corporate performance in an attempt to shed light (1) on the changes that occurred in the Japanese corporate system during the late 1980s “bubble” period and (2) on the direction the system has been taking since the bubble collapsed in the early 1990s.
